Terms and Conditions
1. Identification of the Website and its contents
The purpose of the Website is to give visibility and publicise SeaCorridor's initiatives aimed at enhancing the activities of its member companies. SeaCorridor reserves the right to expand the range of content and any services offered via the Website by updating it. In that case these T&Cs shall also apply to all subsequent content, services and updates, as identified from time to time.
2. Using the Website and its contents
The Website and its contents are offered to users without requesting payment of any fee. Any costs for connecting to the Internet network in order to use the Website and its contents shall be regulated by the user's provider and shall remain the user's sole responsibility, SeaCorridor being an external party and unconnected to the relationship between the user and its provider. SeaCorridor may at any time suspend or permanently discontinue the provision and use of the Website and its contents by third parties, in whole or in part. SeaCorridor offers no guarantee that the Website and its contents will meet the requirements of the user. Nor does it offer any guarantee as to the results that are expected, hoped for or obtained through their use. SeaCorridor shall act in accordance with professional diligence in making the Website and its content available to the user and in ensuring a safe experience. SeaCorridor declines any and all liability for events that are outside its sphere of control. The Website and its contents may not be supported by some of the browsers and/or operating systems on the market, or by some versions of them, and it shall be the user's responsibility and duty to identify the correct combination of software and hardware that allows for an adequate fruition and navigability of the Website and its contents.
3. Accessing the Website
No registration is required to use and navigate the Website and its contents. Unless otherwise provided for by applicable mandatory regulations, the user must be at least 16 (sixteen) years of age to access the Website. Where required by applicable law, the user guarantees that they have, personally or through the person with decision-making authority, the legal capacity to access and view the Website and its contents. By using the Website or accessing its contents, the user declares that they have fully read and understood the Cookie Policy available on the Website and that they consent to the possible use of their personal data in accordance with the terms and conditions set out in that document. The "Contact" section allows emails to be sent to SeaCorridor to request information about SeaCorridor itself, the Website and/or the content published therein, SeaCorridor requires the user to enter only the email address, it is at the user's discretion to provide further personal data. The processing of such data will take place in accordance with the Privacy Policy made available at the bottom of the Website. The user accepts and acknowledges that the "Contact" section of the Website allows the user to submit requests for information to SeaCorridor, in relation to which SeaCorridor does not provide any guarantee as to an effective response nor as to the timing and content of the same.
4. Changes to the T&Cs
SeaCorridor reserves the right to amend these T&Cs at any time by publishing the new version of the applicable T&Cs in the relevant section of the Website. In the event of substantial changes and unless circumstances, law or administrative measures dictate otherwise, SeaCorridor will ensure that the new T&Cs enter into force with reasonable notice. In this case, the date of entry into force indicated in the T&Cs themselves shall prevail. It is the user's responsibility to periodically check for updates to the T&Cs. The use, even partial, of the Website or any part of it by the user shall constitute confirmation of the user's willingness to adhere to the T&Cs and their subsequent amendments. This is always without prejudice to the user's right to withdraw without charge from these T&Cs by discontinuing browsing the Website.
5. Using the Website; indemnity
The user assumes sole responsibility for any of their activities in accessing, browsing and using the Website and its content and agrees to indemnify and hold SeaCorridor harmless from any claim or demand relating to or arising from the use or misuse of the Website and its content. Violation of the obligations under these T&Cs may result in temporary or permanent suspension of the user from access to the Website. A suspended or deleted user is prohibited from accessing the Website.
6. Intellectual and industrial property rights in relation to the Website and its contents
The User expressly recognises that all industrial and intellectual property rights, including but not limited to copyright, know-how, source code, software, hardware, projects, applications, patents, trademarks, industrial secrets, formulas, algorithms, models, databases and the like, related to the Website, the data and other material from Seacorridor and/or its companies or in any case made available to the User by Seacorridor and/or its Companies under the T&Cs or in any case used on the Website are and remain the exclusive property of Seacorridor and/or their respective owners, and that no rights, except that of the exclusively personal use in accordance with the present T&Cs, are granted to the User in relation to the above. In particular, the User undertakes, among other things, not to make acts of disposal (whether free of charge or upon payment of a fee) or exploitation of the multimedia content present on the Website and the respective software, and therefore, by way of example, undertakes not to reproduce, transcribe, represent or perform in any form whatsoever, disseminate, communicate to the public by any means whatsoever, distribute, translate, lease, publish, modify, and create works based on them, in whole or in part, in any other way that is not permitted under these T&Cs or by mandatory rules of law, and in any case not to perform acts detrimental to the moral rights of the authors and the economic use of these works. The User also acknowledges that they are not authorised to create derivative works from or in any way attempt to discover any source code of the software used on the Website, including through decompilation and/or reverse engineering activities, or to develop products or software applications based on the same or making use of the same in any way. The User shall remain solely responsible in relation to any claims made by third parties due to the improper use of the Website and its content and for the consequent violation of intellectual or industrial property rights or other rights of third parties, as well as for the violation of any applicable provision of law, with express indemnity in favour of SeaCorridor. The databases on which the contents of the Website are based (hereinafter, the "Databases"), as well as the content of the Website and its content are also protected by copyright under Law 22 April 1941 n. 633 and subsequent modifications (hereinafter, "Copyright Law"). Furthermore, the Databases are also the object of significant investments by SeaCorridor with consequent protection also pursuant to Articles 102-bis and 102-ter of the Copyright Law. For the purposes of the above protection, the only permitted use of the Databases by users is that made in accordance with these T&Cs. In no event shall these T&Cs be construed as granting Users the right to extract or re-use all or a substantial part of the Data.
7. Prohibition of resale
The user's right to access and browse the Website is personal and non-transferable. The user may access the Website as a natural person for strictly personal use and in any case not for profit or in any case for the purpose of obtaining an economic benefit. The user is prohibited from incorporating any of the content extracted in connection with the use of the Website in intellectual works. The user is forbidden to reproduce, publish, distribute, set up in databases, translate, adapt, duplicate, copy, sell, subject to framing or deep linking, resell and in any case exploit for commercial purposes or in any case for profit or gain the contents of the Website in any of their parts or what is extracted from the Databases, as well as the use of or access to the Website and/or its contents.
8. External Links and Connections
SeaCorridor may provide links to other Internet sites or resources. The User acknowledges and recognises that SeaCorridor has no control over the content of such sites and as a mere third party has no responsibility for the content and/or material, including publicity material, published on such sites or external resources or for products or services offered therein. Unless expressly stated otherwise, such products or services cannot be considered in any way to be sponsored, shared or supported by SeaCorridor and therefore the user assumes all liability for any purchases made of such products or services, with the result that SeaCorridor shall have no direct or indirect liability in connection with such transactions. Users may be granted the right to share links to content on the Website on other social media platforms on the Internet. This activity shall be performed by Users in compliance with these T&Cs and the conditions applicable to the platforms to which the referral is made.
9. Limitation of liability
Seacorridor declines any and all liability for any claims by the User relating to the impossibility of using the Website for any reason not attributable SeaCorridor. SeaCorridor declines any and all liability for damages, claims or losses, direct or indirect, deriving from the failure and/or defective functioning of the User's electronic equipment or that of third parties, including Internet Service Providers, telephone and/or computer connections. SeaCorridor shall not be held in default of its obligations or responsible for damages:
a) resulting from the failed availability of the Website due to the malfunctioning or failure of the electronic means of communication due to causes beyond the User's foreseeable control, including but not limited to fire, natural disasters, power failure, unavailability of telephone lines or other network service providers, malfunctioning of computers and other electronic devices, including those not forming an integral part of the Internet network, malfunctioning of computer programs installed by the User;
b) arising from the actions of other users or other persons with access to the Internet. This provision shall be deemed to extend to the entities that signed the network agreement through which SeaCorridor was established, as highlighted on the Website.
10. Applicable law and jurisdiction
These T&Cs are governed by Italian law. In the event that any of the provisions are deemed invalid, void and/or otherwise unenforceable under applicable law, the remaining provisions shall nevertheless be considered fully valid and enforceable. In the event that the user qualifies as a consumer, in accordance with the laws in force, for any dispute to which SeaCorridor is a party and which arises from the use of the Portal or from the violation of these T&Cs, the Court of the place of residence or domicile elected by the user in the Italian territory shall have exclusive jurisdiction, unless otherwise provided for by mandatory regulations. In all other cases, the Court of Rome will have jurisdiction.
